1. Introduction
Thanks for choosing SideCoach! SideCoach is operated by SideCoach, Inc., a Texas corporation, together with its affiliates, agents, representatives, consultants, employees, officers, and directors (collectively "SideCoach," "we," "us," and/or "our"). SideCoach provides two related services through its technology platform:
- SideCoach Manager (Camps): a web-based platform that independent camp operators (each an "Operator," sometimes operating under the name of or in association with an educational institution) use to promote, manage, and operate youth sports camps and programs, including registration, scheduling, payment processing, and communications; and
- SideCoach Lessons (Marketplace): a marketplace that connects athletes who wish to post instructional content and provide virtual and in-person athletics training and skill instruction ("Coaches") with individuals who wish to book that instruction.
Before using our Services, please carefully review these Terms of Service ("Terms" or "Agreement"), including our Arbitration and Class Action Waiver in Section 22 and the granular communications consents in Section 15. These Terms are a binding contract between you and SideCoach. If you have questions, contact us as described in Section 30.
2. What SideCoach Is - and Is Not
SideCoach is a technology platform. Understanding our role matters because it shapes who is responsible for what:
- For camps, the Operator - not SideCoach - runs the camp. The Operator is solely responsible for the camp's content, staffing, supervision, safety, quality, conduct, and outcomes, and sets its own camp policies (including its cancellation and refund policy). SideCoach provides only the registration, payment, scheduling, and communication technology. SideCoach is not a camp operator, and does not employ, supervise, or control any Operator or its staff.
- For lessons, the Coach - not SideCoach - provides the instruction. SideCoach does not employ, recommend, or endorse any Coach, has no control over their acts or omissions, and is not responsible for their performance or conduct.
SideCoach does not conduct criminal background checks on Coaches, Operators, or their staff except as expressly stated on our Services. You should exercise your own judgment and precautions before booking, meeting, or allowing a minor to participate.
ALL USE OF OUR SERVICES IS AT YOUR SOLE AND EXCLUSIVE RISK. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OPERATORS, COACHES, AND OTHER USERS. SIDECOACH MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF ANY OPERATOR, COACH, OR USER, OR THEIR INTERACTIONS WITH YOU OR ANY PARTICIPANT.
3. Acceptance of Terms
By accessing or using the website at sidecoach.com (including all areas available through it, the "Site"), registering for a camp, booking a lesson, purchasing instructional content, or otherwise using any service made available on the Site (together with the Site, the "Services"), you ("Users," or "you") acknowledge and agree to these legally binding Terms and to the SideCoach Privacy Policy ("Privacy Policy"), which is incorporated by reference. You agree to use the Services only for lawful purposes. You represent and warrant that you are fully able and competent to enter into and comply with these Terms.
4. Modifications to This Agreement
From time to time, we may revise these Terms, including the Privacy Policy. SideCoach reserves the right, at its sole discretion, to amend or replace these Terms at any time. The most current version (with its revision date) will be made available through the Site. If there are significant changes, we will notify you by prominently displaying a notice on the Site or by emailing the address associated with your registration or Account. Updated Terms will never apply retroactively and will state their effective date. Your continued use of the Services following any modification constitutes acceptance of the modified Terms.
5. Eligibility, Accounts, and Registration
Age to transact. You must be at least eighteen (18) years of age, or the age of majority in your applicable state, to register a participant for a camp, book a lesson, purchase content, or create a SideCoach account ("Account").
Registering a minor. Many camp and lesson participants are minors. If you register or book for a participant who is under the age of majority (a "Participant"), you represent and warrant that you are the Participant's parent or legal guardian, or are otherwise legally authorized to act for them; that you accept these Terms on the Participant's behalf; that you consent to our collection and use of the Participant's information as described in Section 6 and the Privacy Policy; and that you are responsible for the Participant's conduct in connection with the Services. Additional provisions relating to minors appear in Section 6.
Guest registration. You do not always need an Account. You may register for a camp or book a lesson as a guest by submitting the information we request; we will provide a unique confirmation code to access your booking. When you purchase instructional content, we will create an Account so you can access it.
Coach eligibility. Any User who wishes to provide coaching or skill instruction through the marketplace must be a current intercollegiate athlete, or a former intercollegiate athlete, and must complete a SideCoach Affidavit of Eligibility, Release, and Consent Form, which SideCoach will review before granting access.
Accurate information. You represent that the information you provide - whether in an Account, in a guest registration, or otherwise - is accurate, current, and complete, and you agree to keep it so. We may suspend or terminate your Account or access if any information is inaccurate, out of date, incomplete, or makes you ineligible.
Account security. You are responsible for maintaining the confidentiality of your Account, password, and any guest confirmation code, and for all activities, charges, and damages that occur under them. Allowing another person to use your Account violates these Terms. Report any unauthorized use or security breach immediately to support@sidecoach.com. You are responsible for activity through your Account until you close it or prove your Account security was compromised through no fault of your own.
6. Minors and Youth Participants
Because our Services are used to register minors for youth sports camps and lessons, this Section governs how we handle information about, and participation by, minors. It supplements the Privacy Policy.
Parental consent. Registration of a Participant under the age of majority may only be completed by that Participant's parent or legal guardian, or a person legally authorized to act for them (a "Parent"). By completing registration, the Parent consents to SideCoach's collection, use, and disclosure of the Participant's information as described in these Terms and the Privacy Policy, including sharing that information with the applicable Operator so the Operator can run the camp.
Information we collect about Participants. Depending on the camp or lesson, we may collect a Participant's name, age or date of birth, sport and skill information, and - where the Operator requires it - emergency contact and health or medical information provided by the Parent for the Participant's safety. Health and emergency information is used to operate the camp safely and is shared with the applicable Operator for that purpose.
Children under 13. The Services are directed to adults (Parents and adult Users), not to children. We do not knowingly permit children under 13 to create Accounts or register themselves. Where information about a child under 13 is collected through a Parent's registration, we handle it consistent with the Children's Online Privacy Protection Act (COPPA) and applicable law, as further described in the Privacy Policy. A Parent may review, request deletion of, or refuse further collection of their child's information by contacting support@sidecoach.com.
Photos and video of minors. Camps and Coaches may capture photographs or video that include Participants. Except for photographs and video uploaded through SideCoach Sports Manager (which are governed by the paragraph below), we will not use images or footage of an identifiable minor for marketing or promotional purposes without the separate, verifiable consent of that Participant's Parent. Operators are responsible for their own capture and use of images at their camps.
Photos uploaded to SideCoach Sports Manager. By uploading any photograph or video to SideCoach Sports Manager, the uploading Operator or institution represents and warrants that it has obtained all rights, releases, and consents necessary for SideCoach to use that content for marketing and promotional purposes, including the separate, verifiable consent of a Parent for any identifiable minor. In reliance on that representation, SideCoach may use any content uploaded to Sports Manager for marketing and promotional purposes. Obtaining these consents is the sole responsibility of the uploading Operator or institution, and this responsibility applies independently of, and is not limited or satisfied by, each institution's own policies. SideCoach is not liable for an Operator's or institution's failure to obtain any required consent, and the uploading Operator or institution will indemnify SideCoach against any claim arising from that failure.
No marketing directed to minors. All communications described in Section 15 are directed to the Parent or the adult User, never to a minor. We do not send marketing to Participants.
7. Camps: Registration and the Operator Relationship
When you register for a camp through SideCoach Manager, you are registering for a camp operated by an independent Operator. Your registration creates a relationship between you and the Operator for the camp itself; SideCoach provides the technology that powers registration, payment, scheduling, and communications.
Operator policies control the camp. Each camp listing sets out the Operator's own terms, including dates, location, eligibility, what is included, conduct rules, and - importantly - the Operator's cancellation and refund policy. Those Operator terms govern the camp and your participation in it. You should review them before registering. SideCoach passes the Operator's cancellation and refund policy through at checkout and applies it as the Operator directs; SideCoach does not set camp refund policies.
Cancellations and refunds (camps). Requests to cancel a camp registration or obtain a refund are governed by the applicable Operator's stated policy. Where a refund is due under that policy, SideCoach will facilitate it through the payment processor. The SideCoach service fee added at checkout (described in Section 9) is separate from the camp price and is non-refundable except where required by law or where a camp is cancelled by the Operator.
Camp changes or cancellation by the Operator. Operators may change or cancel camps. If an Operator cancels a camp, the camp price is handled under the Operator's policy and applicable law. SideCoach is not responsible for an Operator's decision to change or cancel a camp, but will reasonably assist in processing any resulting refunds.
8. Lessons: Booking Coaches
The marketplace connects individuals seeking athletic training with Coaches who provide it and facilitates payment for those services. Transactions for lessons are between you and the Coach; SideCoach is not a party to them and disclaims liability for disputes, claims, injuries, losses, or damages arising from interactions between Users.
Booking through the platform. If you are a Coach offering services, you must book the first and all future coaching sessions through the platform. Failure to comply may result in suspension of your Account.
Cancellations and refunds (lessons). Users who book a lesson are charged the full Coach training fee plus any applicable SideCoach service charges and taxes when the session is booked. No refunds are provided unless you contact support@sidecoach.com. You may, however, reschedule a lesson up to twenty-four (24) hours before the session. Coaches are paid for completed sessions within seventy-two (72) hours of completion.
9. Payment Terms
Authorization. By providing a credit card or other accepted payment method, you confirm you are authorized to use it and authorize us (or our third-party payment processor, such as Stripe) to charge it for the full amount of your purchase, including applicable taxes and charges. If your payment method cannot be verified, is invalid, or is unacceptable, your order may be suspended or cancelled.
Processor; no custody of funds. Payments are processed by a third-party provider. SideCoach acts solely as a technology provider, does not take custody of funds, and is not a bank, escrow agent, or money transmitter.
Service fees. For camps, a SideCoach service fee is added to each registration and paid by you at checkout; it covers transaction processing, security, email, cloud, hosting, and other platform services, and is separate from the camp price set by the Operator. For lessons, SideCoach service charges are added to the Coach's fee at booking. Service fees are non-refundable except as required by law or as stated in Section 7. All prices are shown in U.S. dollars; applicable taxes and charges are additional and prices may change without prior notice.
10. Use of the Services; Prohibited Conduct
The Services are provided for personal use, and you are solely accountable for your activities. We may change, suspend, or terminate any or all aspects of the Services, with or without notice. You agree not to:
- Engage in illegal or fraudulent activity, or violate any local, state, national, or international law, including those governing intellectual property, data protection, privacy, and import/export control;
- Conduct competitive analysis, develop a competing product or service, or engage in any activity to our commercial disadvantage; or submit information or documentation belonging to another party;
- Post or transmit material that infringes any patent, trademark, trade secret, copyright, or other proprietary right, or attempt to gain unauthorized access to any feature of the Services;
- Decipher, decompile, disassemble, reverse-engineer, or attempt to derive any source code or underlying ideas or algorithms of the Services, or circumvent security or usage-limiting features, except where applicable law prohibits such restriction;
- Modify, translate, or create derivative works of any part of the Services; or license, copy, sell, rent, lease, distribute, or otherwise transfer rights received under these Terms; or commercially exploit the Services;
- Engage in unsolicited or unauthorized advertising, junk mail, spam, or chain letters; or post content containing viruses or other harmful code;
- Impersonate any person or entity, including any SideCoach representative; or impose an unreasonable load on our infrastructure or interfere with the proper working of the Services;
- Sell or transfer your profile; or post content that threatens violence, furthers illegal activity, or is harassing, hateful, libelous, defamatory, abusive, spam, pornographic, predatory, sexually graphic, racist, offensive, harmful to a minor, or that violates the rights of any third party;
- Use the Services in any manner that interferes with others' use, or indicate a relationship with or endorsement by SideCoach without our written permission.
If we determine you have violated these rules, we may prohibit current or future use of the Services, investigate, and take legal action as appropriate, including cooperating with law enforcement.
11. User Content
You may upload, post, or provide content ("User Content"), including text, photographs, and videos. By posting User Content, you grant SideCoach a nonexclusive, royalty-free, fully paid, perpetual, irrevocable, sub-licensable, and transferable worldwide license to use, modify, publicly display, reproduce, and distribute it to operate, provide, develop, improve, advertise, market, and promote our Services, including making it available to other Users, subject to these Terms and the Privacy Policy. You may request that we discontinue further public use of your User Content as described in Section 13.
If User Content is attached to your profile, the license includes the right to reproduce your profile and any name, image, or likeness in it. However, if you are a student-athlete subject to name, image, and likeness laws and/or the rules of the NCAA or another governing body, we will not knowingly use your User Content in a manner that would violate, or cause you to violate, those rules. You are solely responsible for the User Content you provide and for complying with all applicable laws and athletic-association rules.
12. User Content Guidelines and Standards
You are responsible for any content you post, upload, or link. We reserve the right to determine what violates these standards, and failure to comply may result in loss of access. Be professional and authentic, use your own identity, and provide accurate, verifiable information. Do not create, share, or upload User Content that:
- Includes video or audio of any person under 18 (or the age of majority in their jurisdiction) without the consent required by Section 6;
- Violates any applicable name, image, and likeness laws or an institution's policies;
- Contains advertisements or promotions;
- Is unlawful, libelous, defamatory, obscene, pornographic, indecent, harassing, threatening, invasive of privacy, abusive, inflammatory, fraudulent, false, or misleading;
- Demeans or promotes discrimination or violence based on protected characteristics, or encourages or instructs a criminal offense;
- Infringes any intellectual-property right, or contains another person's personal information without permission;
- Impersonates or misrepresents your affiliation, contains viruses or harmful files, or that, in our sole judgment, is objectionable or exposes SideCoach or its users to harm or liability.
If you violate these standards, we may remove your User Content and/or Account, restrict your access, and, if necessary, notify authorities.
13. Termination of Usage
You may cancel your Account at any time in your Account settings or by emailing support@sidecoach.com. We reserve the right to suspend or cancel your Account without notice if you violate this Agreement. If your Account is cancelled, we may remove your Account information and settings from our servers without liability or notice, and you will lose access to your content. All provisions that by their nature should survive termination will remain in effect, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. You may instruct us to discontinue, on a going-forward basis, public use of your User Content by written notice under Section 30. We may retain User Content in backups and archives until deleted in the ordinary course of business.
14. Third-Party Content
Our Services may link to third-party websites or content, including promotional offers, advertisements, and social "widgets" ("Third-Party Content"). SideCoach does not own, control, or endorse any Third-Party Content and makes no representations or warranties regarding it. Your access to and use of Third-Party Content is at your own risk, and any dealings with third parties are solely between you and the third party. When you navigate away from our Services, the terms and policies of those sites apply.
15. Communications and Marketing Consents
Service communications. When you register for a camp, book a lesson, or create an Account, we will send you communications necessary to provide the Services - for example, registration and booking confirmations, schedule updates, payment authorizations, receipts, security notices, and messages from your Operator or Coach about your camp or lesson. These are not marketing, and you cannot opt out of them while you have an active registration, booking, or Account, because we need them to deliver the Services.
Marketing is on by default; you can opt out at any time. When you register or check out, we present two independent choices about email marketing, and each one is pre-selected (pre-checked) on your behalf. You may leave a box checked to keep receiving that type of email, or un-check it to opt out before you finish registering:
- Upcoming camps. "Yes, SideCoach may contact me about upcoming camps and programs" - permission to send you information about future camps and programs offered through the Platform, including those of other Operators or institutions.
- Private lessons. "Yes, SideCoach may contact me about private lessons" - permission to send you information about SideCoach's private coaching and lessons marketplace.
Independent and revocable. These two choices are independent: un-checking one does not un-check the other, and neither is a condition of registering for a camp, booking a lesson, or using the Services. You may opt out at registration by un-checking a box, or later at any time - without affecting the other - by using the unsubscribe link in any marketing email or by contacting support@sidecoach.com. We will honor your choices and applicable opt-out and consent requirements. All marketing is directed to you as an adult Parent or User and never to a minor. Where the law requires opt-in - including residents of California, Colorado, and Connecticut - these boxes are instead presented unchecked, and we will send marketing only if you affirmatively opt in.
How your information is used for marketing. If a box remains checked, we may use the contact information you provided at registration for the marketing you selected. This is described further in the Privacy Policy. We do not sell your personal information.
Electronic notices. You agree that electronic communications satisfy any legal requirement that a communication be in writing. SideCoach does not send marketing or promotional text (SMS) messages; any marketing you receive will be sent by email only. We will not use your contact information for purposes other than those described in these Terms and the Privacy Policy.
16. Intellectual Property
Our content. Through the Services, SideCoach may provide access to videos, images, graphics, audio, text, software, and other materials, along with associated trademarks and copyrightable works (collectively, "Content"), which are protected by intellectual-property laws. You are granted a limited, revocable, non-exclusive, non-transferable license to use the Services and our Content solely for legally permitted activities related to our Services. This license does not include any right to sell or resell the Services or Content, collect and use listings, pictures, or descriptions, publicly display or distribute the Content, or use the Services or Content in violation of these Terms. Unauthorized use may result in automatic termination of the license.
Feedback. We may request feedback ("Feedback") on your experience. We own any Feedback and may use it for any purpose, including advertising, without compensation, and you waive any moral rights in it.
17. Copyright and Trademark Notices
Copyright policy. SideCoach complies with the Digital Millennium Copyright Act (DMCA). If you believe your work has been copied in a way that constitutes infringement, notify our Copyright Agent at support@sidecoach.com or by mail at the address in Section 30. Your notice must include: an electronic or physical signature of a person authorized to act for the copyright owner; identification of the copyrighted work; identification of where the infringing material is located; your contact information; a statement of good-faith belief that the use is not authorized; and a statement, under penalty of perjury, that the information is accurate and that you are authorized to act.
Counter-notice. If you believe your Content was removed in error, you may send a written counter-notice to the Copyright Agent including your signature; identification of the removed Content and its prior location; a statement that you believe the removal was a mistake; and your name, address, phone number, email, a statement consenting to the jurisdiction of the federal court in McLennan County, Texas, and a statement accepting service of process from the party who provided the notice. If we receive a valid counter-notice, we may forward it to the original complainant, who then has 10 business days to seek a court order; absent one, the removed Content may be restored in 10-14 business days at our discretion.
18. Indemnification
You agree to defend, indemnify, and hold harmless SideCoach and its independent contractors, service providers, consultants, and their respective officers, directors, employees, and agents from any and all claims, damages, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Services; (b) any User Content or Feedback you provide; (c) your violation of these Terms; (d) your violation, misappropriation, or infringement of the rights of another (including intellectual-property or privacy rights); (e) your behavior in connection with our Services; (f) a Participant's participation in a camp or lesson you registered or booked; and (g) your eligibility under the rules of the NCAA or any other body governing your eligibility as an intercollegiate student-athlete.
19. Warranty and Disclaimer
THE SERVICES AND ALL INFORMATION CONTAINED HEREIN ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND. EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, SIDECOACH AND ITS AFFILIATES AND REPRESENTATIVES EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, SECURITY, ACCURACY, AVAILABILITY, AND NON-INFRINGEMENT. SIDECOACH MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.
SIDECOACH RECOMMENDS THAT YOU CONSULT A PHYSICIAN BEFORE ANY PARTICIPANT BEGINS ANY EXERCISE PROGRAM, CAMP, COACHING, OR SKILL INSTRUCTION. SIDECOACH IS NOT A LICENSED MEDICAL PROVIDER. YOU UNDERSTAND THAT PARTICIPATING IN ANY EXERCISE PROGRAM, CAMP, COACHING, OR SKILL INSTRUCTION CAN RESULT IN PHYSICAL INJURY, AND YOU AGREE THAT EACH PARTICIPANT DOES SO AT THEIR OWN RISK.
20. Limitation of Liability
To the fullest extent allowed by law, you release SideCoach and its managers, employees, contractors, agents, and representatives from any liability associated with your use of the Services, and you acknowledge that your use is at your own risk.
EXCEPT AS OTHERWISE SPECIFICALLY PROVIDED, IN NO EVENT SHALL SIDECOACH OR ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR CONTENT PROVIDERS BE LIABLE UNDER ANY LEGAL THEORY (i) FOR ANY LOST PROFITS, DATA LOSS, COST OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES; (ii) FOR ANY VIRUSES OR THE LIKE; OR (iii) FOR ANY DIRECT DAMAGES IN EXCESS OF, IN THE AGGREGATE, ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID, IF ANY, TO ACCESS OR USE OUR SERVICES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THE ABOVE MAY NOT FULLY APPLY TO YOU.
21. Assumption of Risk
You acknowledge that all risks associated with using the Services, including risks arising from interactions with Operators, Coaches, and other Users, and from a Participant's participation in any camp or lesson, are your sole responsibility. You agree to take all necessary precautions and assume full responsibility for any consequences that may result.
22. Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY - IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Initial dispute resolution. For any dispute with SideCoach, you agree to first give us an opportunity to resolve it. Send a written description of the issue within thirty (30) days of the event that gave rise to it to support@sidecoach.com, and negotiate with us in good faith for at least sixty (60) days after we receive it.
Binding arbitration. If the parties cannot resolve a dispute within 30 days of initiating informal resolution, either party may start binding arbitration as the sole means to settle claims relating to these Terms (including their formation, performance, and breach) and your use of the Services. The American Arbitration Association will administer the arbitration under its Commercial Arbitration Rules and consumer-related procedures. The arbitrator has exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of these Terms, and may award any relief available in court. This provision replaces the right to sue in court and to a jury trial. The arbitration will take place in Waco, Texas.
Class action waiver. Any arbitration will be conducted solely in the parties' individual capacities and not as part of a class or representative action, and each party expressly waives any right to file or participate in a class action. If a court or arbitrator determines this class-action waiver is unenforceable or that arbitration may proceed on a class basis, the arbitration provision will be null and void in its entirety.
30-day right to opt out. You may decline the arbitration and class-action-waiver provisions by notifying us in writing at support@sidecoach.com within 30 days of first using the Services; otherwise, you will be obligated to arbitrate. If you opt out, we will not be bound by these provisions either. We will give 30 days' notice of any modifications to this Section, effective on the 30th day and applying only to claims arising after that date.
23. Name, Image, and Likeness (NIL)
We are not affiliated with or sponsored by the NCAA or any other governing body of amateur athletics. SideCoach makes no representation that using our Services is permitted under any state name, image, and likeness laws, the rules of any amateur athletics governing body, or the policies of any postsecondary institution ("NIL Regulations"). If you are subject to any NIL Regulations, you represent that you have researched them and confirmed that your use of our Services will not affect your eligibility as a student-athlete. International student-athletes should consult an immigration attorney or their institution before using our Services. You are responsible for knowing and following any NIL Regulations, and if your use could violate them, we may take reasonable measures, including terminating your access and/or reporting to appropriate authorities.
24. Availability of the Services
You acknowledge that interruptions in availability may occur for reasons beyond our control. Although we make reasonable efforts to keep the Services accessible, they may be temporarily unavailable, such as during maintenance. We are not responsible for connectivity issues or for any loss of material, data, transactions, or other information resulting from outages, whether planned or unplanned, or from third-party sites. You agree that we are not liable if we modify, suspend, or discontinue the Services for any reason, and that we may impose restrictions or limit access without prior notice or liability.
25. Assignment; No Third-Party Beneficiaries
These Terms are for your personal use and cannot be transferred, assigned, or sublicensed by you without our prior written approval; any unauthorized assignment is void. SideCoach may transfer, assign, or delegate its rights and responsibilities under these Terms without your consent. Except as expressly stated, no third party has any rights or benefits under these Terms.
26. Notice Policy and Your Consent
Under these Terms, you are entering into an agreement with SideCoach, Inc., a Texas corporation. All notices to us should be addressed to the address in Section 30. You agree that we may give you notice by posting a general notice on the Services, by emailing the address associated with your registration or Account, or by first-class mail to the address on your Account. Such notice is considered given 48 hours after mailing or 12 hours after sending by email. You may give us notice by first-class mail to the address in Section 30.
27. Governing Law
These Terms (and any rules, policies, or guidelines incorporated by reference) are interpreted and enforced in accordance with the laws of the State of Texas and the United States, without applying conflict-of-law principles and without the Uniform Computer Information Transactions Act or the U.N. Convention on Contracts for the International Sale of Goods. Subject to Section 22, you agree that any legal action arising out of or related to these Terms or your use of the Services will be brought solely in the state or federal courts located in McLennan County, Texas, and you consent to the personal jurisdiction of those courts and waive any right to a jury trial.
28. Integration and Severability
These Terms, along with any referenced materials, represent the complete agreement between you and us concerning the Services and supersede all prior or contemporaneous agreements, representations, and understandings, whether oral, written, or electronic. If a court declares any provision invalid, illegal, or unenforceable, the remaining provisions will remain valid, legal, and enforceable to the fullest extent permitted by law.
29. No Waiver
The failure of either party to exercise any right provided for in these Terms is not a waiver of any further rights.
